4 Practice Disciplines

Texas Business & Corporate Law

Entity Formation, Commercial Contracts & Corporate Advisory under the Texas BOC

Texas has earned its reputation as an economic engine with one of the most dynamic business climates in the nation. Operating a successful enterprise in the Lone Star State requires strategic compliance with the Texas Business Organizations Code (BOC), state licensing requirements, and federal commercial laws. Business law attorneys provide counsel from initial venture conception through capital acquisition, operational growth, and eventual succession or sale.

From selecting between Limited Liability Companies (LLCs), Series LLCs, Corporations (S-Corp / C-Corp), Limited Partnerships (LPs), or Joint Ventures, proper corporate governance shields owners from personal liability. Business attorneys draft customized operating agreements, restrictive covenants, buy-sell agreements, and customer contracts that protect proprietary assets, define voting rights, and preempt costly partnership disputes.

Key Legal Matters & Services in Business Law

Entity Formation & Corporate Structuring

Establishing Texas LLCs, Series LLCs, corporations, and partnerships; drafting Certificates of Formation with the Texas Secretary of State, bylaws, and founder agreements.

Commercial Contracts & Vendor Agreements

Drafting, reviewing, and negotiating vendor agreements, service contracts, licensing arrangements, non-disclosure agreements (NDAs), and commercial covenants.

Mergers, Acquisitions & Asset Transactions

Managing due diligence, negotiating stock purchase agreements (SPA), asset purchase agreements (APA), and corporate restructuring across Texas.

Partnership Disputes & Shareholder Remedies

Resolving corporate divorce, minority shareholder oppression claims, fiduciary breach allegations, and buyout valuations.

Employment & Executive Compensation

Structuring executive compensation packages, independent contractor classifications, intellectual property assignment, and compliance with Texas wage laws.

Outside General Counsel & Corporate Compliance

Serving as trusted ongoing corporate counsel for growing Texas mid-market companies, technology startups, and family-owned enterprises.

Corporate counsel protects commercial enterprises with rigorous contract architecture, regulatory compliance, and strategic transactional advice.

Criminal Defense & Constitutional Advocacy

Defending Constitutional Rights in Texas Municipal, County & District Courts

Facing criminal charges in Texas places an individual's freedom, reputation, employment, and constitutional liberties under direct threat from the formidable resources of state or federal prosecutors. Under the Texas Penal Code and the Texas Code of Criminal Procedure, criminal allegations range from Class C misdemeanors through first-degree and capital felonies that carry severe mandatory prison sentences and life-altering collateral consequences.

Effective criminal defense requires immediate intervention and proactive constitutional scrutiny. Seasoned Texas criminal defense attorneys examine every phase of the state's case: evaluating whether law enforcement had reasonable suspicion for initial traffic stops, probable cause for warrantless searches or arrests, adherence to Miranda warnings, chain of custody for physical evidence, and compliance with statutory blood and breath testing protocols. Early defense representation allows counsel to engage prosecutors before grand jury indictments, negotiate bond reductions at magistrate hearings, file motions to suppress illegally obtained evidence, and present robust defenses before Texas juries.

Key Legal Matters & Services in Criminal Defense

DWI / BWI & Impaired Driving Defense

Challenging Standardized Field Sobriety Tests (SFSTs), breathalyzer calibrations, warrantless blood draws, and ALR administrative driver license suspension hearings.

Drug Offenses & Controlled Substances

Defending possession, distribution, and manufacturing charges involving controlled substances and pharmaceuticals under the Texas Health and Safety Code.

Assault & Family Violence Allegations

Resolving allegations of misdemeanor assault, felony aggravated assault, continuous violence against the family, and defending against emergency protective orders (EPOs).

Theft, Robbery & White-Collar Offenses

Representation for shoplifting, grand theft, credit card abuse, fraud, embezzlement, forgery, and identity theft allegations in Texas district courts.

Felony Indictments & Weapons Violations

Defense against serious felony indictments, unlawful carrying of weapons, firearm charges, burglary, evading arrest, and violent crime allegations.

Record Expunctions & Non-Disclosure Orders

Clearing eligible arrest records, dismissing deferred adjudication charges, and sealing criminal records to restore civil liberties and background check clearance.

Experienced defense counsel investigates procedural violations, cross-examines state witnesses, and advocates vigorously to protect your freedom and future.

Texas Estate Planning & Probate Administration

Preserving Wealth, Protecting Heirs & Guiding Probate under the Texas Estates Code

Estate planning and probate law in Texas provides individuals, families, executives, and business owners with the legal framework to organize their affairs, protect accrued assets, minimize tax exposure, and ensure smooth transfer of generational wealth. Governed by the Texas Estates Code, proper estate planning prevents family disputes and eliminates the delays and expenses of court-supervised intestate administration.

In Texas, a comprehensive estate plan extends beyond a simple last will. It integrates revocable living trusts to manage assets outside of probate, statutory durable financial powers of attorney to authorize trusted fiduciaries during incapacity, medical powers of attorney, living wills (directives to physicians), and HIPAA releases. When a loved one passes away, Texas probate law offers streamlined procedures—such as Independent Administration, Muniment of Title, and Small Estate Affidavits—which can be navigated efficiently with experienced probate counsel.

Key Legal Matters & Services in Estate Planning

Last Will & Testament Drafting

Formulating legally sound attested and holographic wills that appoint independent executors, name guardians for minor children, and dictate specific asset bequests.

Revocable Living Trusts & Asset Protection

Creating revocable and irrevocable trusts to ensure privacy, avoid public probate court records, protect beneficiaries with special needs, and shield generational assets.

Incapacity Planning & Powers of Attorney

Preparing Texas Statutory Durable Financial Powers of Attorney and Medical Powers of Attorney to empower designated agents without guardianship court intervention.

Independent & Dependent Probate Administration

Guiding named executors through Texas probate courts to prove the will, publish notices to creditors, inventory estate assets, and distribute inheritances.

Muniment of Title & Small Estate Affidavits

Utilizing cost-effective, expedited Texas probate procedures when estates have no outstanding debts other than real property liens.

Fiduciary Litigation & Will Contests

Resolving contentious probate disputes involving allegations of lack of testamentary capacity, undue influence, executor breach of fiduciary duty, or contested heirship determinations.

Estate planning counsel crafts customized legal instruments to protect family legacies, prevent court delays, and ensure your wishes are executed smoothly.

Texas Real Estate & Property Law

Residential, Commercial & Land Transactions under the Texas Property Code

Real estate law in Texas governs the acquisition, financing, leasing, development, and dispute resolution for residential, commercial, agricultural, and industrial properties across the state. Under the Texas Property Code, real estate transactions involve substantial financial commitments and strict statutory formalities regarding title conveyances, warranty deeds, lien priorities, and disclosures.

Whether navigating commercial development in expanding metropolitan corridors, farm and ranch acquisitions, residential title defects, or commercial lease negotiations, qualified real estate legal counsel safeguards property investments. Texas attorneys examine title commitments, draft customized closing instruments, establish easements and covenants, resolve boundary and survey discrepancies, and litigate property disputes in district courts.

Key Legal Matters & Services in Real Estate Law

Commercial Real Estate Acquisitions & Sales

Structuring purchase and sale agreements, environmental due diligence, zoning reviews, financing documents, and closing oversight for commercial assets.

Residential Conveyancing & Title Examination

Resolving clouds on title, mechanics liens, heirship affidavits, warranty deeds, deeds of trust, and Texas homestead protections.

Commercial Leases & Tenant Covenants

Drafting and negotiating triple net (NNN) leases, gross leases, tenant build-out covenants, and CAM reconciliations for office, retail, and industrial spaces.

Landlord-Tenant Law & Eviction Proceedings

Representing property managers and landlords through notice to vacate compliance, Justice of the Peace (JP) court eviction hearings, and appeals.

Easements, Boundaries & Title Disputes

Litigating boundary line conflicts, prescriptive easements, trespass to try title actions, adverse possession claims, and right-of-way negotiations.

HOA & Property Owners Association Law

Advising on restrictive covenant enforcement, developer declarant rights, and compliance with Chapter 209 of the Texas Property Code.

Real estate attorneys secure property titles, draft airtight conveyances, and litigate disputes to protect your land, commercial assets, and residential investments.

“My husband and I just partnered with the Silverleaf Legal Group team after attending a free, very thorough 2-hour seminar on estate planning. The seminar helped us see how knowledgeable Attorney Tom is and his dedication to helping families. His commitment to doing what is best for our family is evident in his ability to explain all the options and the legal jargon in a way that can be easily understood. We are excited to continue this process with Tom and his team, who have been nothing but kind, professional, and very helpful!”

“My wife and I met Tom for an hour to discuss our estate planning. We raised several questions to understand which option would work for us - Will or Revocable Living Trust (RLT). He answered all our questions in a simple and clear manner along with an example if needed. Shortly after our meeting, he sent us the summary and details of our discussion and next steps. His expertise, transparency, attention to details, personal touch, and follow-up stand out. We definitely intend to set up a RLT with his assistance in the coming days.”

“I would not do buisness with this place period !!!! They come recommended from a realtor. They don't listen to your needs and absolutely are so damn slow to respond, especially Drake Allison. We were charged a bunch of money , that resolved in us paying out more to the other people. Tom did not absolutely listen to our needs and damn Sure did not push back on the other people, , I feel like we should be refunded all our money . I felt Tom was not secure of his self to handle . He might be good at wills and probate , whatever other customers use him for but I would not recommend this place for real estate, Tom is not good at explaining things either . Cuts you short on the phone when I'm the paying customer. Maybe we will check his practice license to see if there have been any complaints filed .nnSTAY CLEAR LOOK ELSEWHERE!!!nTHANK YOUnPISSED OFF CLIENT”
